Customer Responsibility for Communications & Regulatory Compliance

Customers retain exclusive responsibility for calls, messages, content, TCPA & TRAI compliance, opt-in consents, and mandatory two-party recording announcements conducted through their accounts.

1

Acceptance of Terms & Business Identity

These Terms of Service ("Agreement") govern access to the Parwal AI platform provided by Parwal AI ("Parwal AI", "we", "us", or "our"), an India-based technology platform initiative operating from DDU Nagar, Raipur 492001, Chhattisgarh, India. By creating an account, connecting SIP interconnects, or configuring AI agents, you agree to these legally binding terms.

2

Description of Services & Neutral Platform Architecture

Parwal AI provides autonomous AI conversational agents, voice synthesis pipelines, real-time STT/TTS routing, and telecommunication interconnects. Parwal AI acts as a neutral technology platform; we do not curate customer contact lists or independently supervise customer scripts.

3

Customer Responsibility for Communications and AI-Generated Interactions

(a) Customer Ownership of Interactions: The Customer is exclusively responsible for all communications initiated, received, generated, or facilitated through their account, agents, custom prompts, integrations, and connected channels (voice calls, WhatsApp, web widgets).

(b) Content and Purpose: The Customer is solely responsible for the content, accuracy, business purpose, legality, appropriateness, and commercial consequences of those communications.

(c) Permissions and Consents: The Customer is solely responsible for obtaining and documenting all required permissions, prior express consents, opt-ins, and legal lawful bases for contacting recipients, recording audio, processing personal data, and conducting marketing.

(d) Statutory Compliance: The Customer must strictly comply with applicable telecommunications, anti-spam, privacy, consumer-protection, and marketing laws (including TCPA and TSR in the United States; TRAI TCCCPR 2018, 140-series allocations, and DLT scrubbing in India; and the Digital Personal Data Protection Act, 2023).

(e) Supervision & Testing: The Customer is solely responsible for configuring, testing, monitoring, auditing, and supervising their AI agents, prompts, and knowledge sources prior to public deployment.

(f) Required Consumer Disclosures: The Customer is solely responsible for providing required affirmative disclosures, including informing recipients that they are speaking with an artificial intelligence system and providing two-party call recording announcements.

(g) Complaints & Inquiries: The Customer is solely responsible for handling, defending, and resolving all consumer complaints, regulatory inquiries, spam flags, and third-party claims arising from their communications.

(h) Technology Platform Provider Role: Parwal AI is a technology platform provider and does not independently determine Customer's communication purpose or instructions.

(i) Nature of AI Outputs: Parwal AI does not guarantee that every AI-generated response, synthesized speech phrase, or transcript will be completely accurate, appropriate, or legally compliant. Models are non-deterministic; Customer maintains duty of oversight.

(j) Suspension Rights: Parwal AI reserves the right to immediately suspend or restrict accounts or phone numbers for abuse, unlawful communications, security risks, or policy violations.

(k) Protection for Parwal AI: To the maximum extent permitted by applicable law, Customer agrees that Parwal AI and its founders, operators, directors, officers, employees, contractors, and affiliates shall have no liability for claims arising out of Customer-controlled communications.

(l) Preservation of Statutory Rights: Non-excludable statutory rights and liabilities for Parwal AI's own proven gross negligence or intentional misconduct are preserved.

4

Acceptable Use Policy (AUP)

Customers may not engage in caller ID spoofing, fraudulent impersonation of financial/government entities, unsolicited spam robocalls, harassment, or high-risk emergency medical/industrial automation.

5

Telecommunications, BYOC & Phone Number Procurement

Customer warrants compliance with TCPA prior express written consent, federal DNC scrubbing, and Indian TRAI TCCCPR 2018 DLT template registrations and 140-series commercial communication routing.

Phone Number Procurement & Bring-Your-Own-Carrier (BYOC / Vobiz):
  • Customers are responsible for procuring, provisioning, and maintaining their own authorized phone numbers and carrier accounts (including Vobiz SIP trunks, carrier credentials, or connected telephony channels).
  • Customer is solely responsible for direct carrier agreements, recurring carrier lease payments, KYC identity verifications, and regulatory approvals with their telecom carrier (such as Vobiz).
  • Caller ID spoofing is strictly prohibited; Customer must hold verified regulatory rights to any phone number utilized as an outbound Caller ID.
  • Parwal AI is a software orchestration provider, not a telecommunications carrier, and bears no responsibility for carrier route outages, number suspensions, or billing disputes with Vobiz or upstream carriers.
  • Customer assumes full financial and operational responsibility for keeping their carrier API tokens and SIP credentials secure.
6

Two-Party Consent & Call Recording Covenants

When call recording or transcription is enabled, Customer must configure an explicit audible disclosure at call inception (e.g. "This call is recorded and processed by AI"). Customer assumes full liability for consent violations.

7

Mandatory AI Identification Disclosure

Customer agents must clearly disclose their synthetic nature and shall not deceptively claim to be a biological human when queried by recipients.

8

Intellectual Property & Customer Data

Customer owns uploaded prompts and knowledge bases. Parwal AI does not use customer voice streams or data to train public foundation models.

9

Billing, Consumption & Carrier / WhatsApp Costs

Payments for Parwal AI software subscriptions and platform credits are processed securely via Cashfree Payments India.

Direct Customer Responsibility for Telephony & Meta / WhatsApp API Costs:
  • Meta / WhatsApp Cloud API Conversation Costs: All per-conversation messaging rates (marketing, utility, service, authentication) and template fees charged by Meta Platforms, Inc. must be paid directly by the Customer via Customer's own linked Meta Business Manager payment method. Parwal AI does NOT pay or front Meta messaging costs.
  • Carrier Telephony Costs (Vobiz / SIP / PSTN): All carrier call minutes, trunk connectivity, inbound/outbound dial fees, virtual phone number leases, and carrier surcharges charged by Vobiz or any connected provider are paid directly by the Customer to the respective carrier.
  • Platform Scope: Parwal AI fees cover exclusively the software orchestration platform and AI agent tools. Consumed compute minutes and tokens are non-refundable. See our Refund Policy.

TO THE MAXIMUM EXTENT PERMITTED BY LAW, PARWAL AI'S TOTAL AGGREGATE LIABILITY IS CAPPED AT TOTAL FEES PAID BY CUSTOMER IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM.

12

Customer Indemnification Obligations

Customer covenants to indemnify and hold harmless Parwal AI, its founders, and operators from third-party lawsuits, TCPA claims, recording consent violations, and AUP breaches arising from Customer's communications.

13

Term, Suspension & Termination

Parwal AI may suspend services immediately upon detected fraudulent traffic or AUP violations. Customer may cancel subscriptions at any time via dashboard settings without prorated refunds.
